Terms of Service

These Terms of Service ("Terms") govern your use of the Litefirm website (the "Site"), operated by FiBase Inc., doing business as Litefirm ("Litefirm," "we," "us," or "our"), and your participation in the free Exit Preparation Diagnostic (the "Diagnostic") described on the Site. By using the Site or requesting a Diagnostic, you agree to these Terms.
These Terms do not govern a paid implementation engagement. If you engage Litefirm for a paid engagement, that engagement will be governed by a separate written agreement, which will control over these Terms for any conflicting provisions relating to that engagement.
1. Eligibility
The Diagnostic is offered to owner-led businesses that meet our eligibility criteria, assessed through a brief screening as part of the intake process. We may decline to provide a Diagnostic to any business at our discretion, including businesses referred by a third party (such as an accountant, attorney, or financial planner) that do not meet our criteria.
2. The Diagnostic
The Diagnostic is a complimentary, informational assessment based on information you provide through our intake form or an intake call, together with our review of your publicly available website. It produces a written report generally delivered within 24 hours of a completed intake. The Diagnostic:
Is provided free of charge and creates no obligation for you to purchase a paid engagement.
Is intended to help you understand potential factors affecting your business's transferability and exit readiness.
Is not a business valuation, appraisal, audit, or opinion of value, and should not be relied upon as one.
Is not legal, tax, financial, or investment advice. You should consult qualified professionals before making decisions based on the Diagnostic.
Is based solely on the information you provide and our limited review. We do not independently verify your inputs, and the accuracy of the report depends on the accuracy and completeness of what you share.
3. No Broker Relationship
Requesting or receiving a Diagnostic does not create a brokerage relationship, a listing agreement, or any obligation to work with Synergy Business Brokers, Next Bridge Advisors Inc., or any other brokerage. Any brokerage engagement requires a separate written agreement directly with the applicable brokerage entity.
4. Accurate Information
You agree to provide accurate and complete information during the intake process. We rely on your inputs to prepare your report, and inaccurate or incomplete information will affect the quality and usefulness of the report.
5. Intellectual Property
The Site, the Diagnostic methodology, report templates, scoring frameworks, and related content are the property of FiBase Inc. and are protected by applicable intellectual property laws. Your completed Diagnostic report is provided for your own internal business use. You may not reproduce, resell, or distribute our methodology, templates, or Site content without our written permission.
6. Confidentiality
We treat the business information you provide as confidential, as described in our Privacy Policy. You agree to keep any non-public information about our methodology or pricing that we share with you confidential.
7. Acceptable Use
You agree not to: misrepresent your identity or business; use the Site or the Diagnostic to obtain information for a competing service; interfere with the operation of the Site; or attempt to access data not intended for you.
8. Third-Party Services
The Site and intake process may direct you to third-party tools, including scheduling (Cal.com and Google Workspace), forms (Cognito Forms), and video conferencing (Google Meet). Your use of those tools is subject to their own terms and privacy policies, which we do not control.
9. Disclaimers
The Site and the diagnostic are provided "as is" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the diagnostic will result in any specific increase in business value, salability, or transaction outcome.
10. Limitation of Liability
To the maximum extent permitted by law, fibase inc. and its officers, employees, and contractors will not be liable for any indirect, incidental, consequential, or special damages arising from your use of the site or the diagnostic. Because the diagnostic is provided free of charge, our total liability arising out of or related to the diagnostic will not exceed one hundred dollars ($100).
11. Indemnification
You agree to indemnify and hold Litefirm harmless from claims arising out of your misuse of the Site or the Diagnostic, or your breach of these Terms.
12. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Diagnostic will be brought exclusively in the state or federal courts located in Florida.
13. Changes to These Terms
We may update these Terms from time to time. Continued use of the Site or the Diagnostic after changes are posted constitutes acceptance of the updated Terms.
14. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
15. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Litefirm regarding the Site and the Diagnostic, and supersede any prior agreements on that subject, except as modified by a separate written paid-engagement agreement.
